Terms of Service
The agreement governing business use of Promeo, including AI-assisted creation, account responsibilities, approved posting, scheduling, and third-party platform dependencies.

These Terms of Service ("Terms") govern access to and use of Promeo, a hosted service for creating marketing images and slideshows and for scheduling and submitting approved content to TikTok, Instagram, Threads, YouTube, managed Facebook Pages, Bluesky, and LinkedIn ("Promeo" or the "Service").
The Service is provided by Alcaeus Development AB, registration number 559461-9727, with an address at Fjällbrudens väg 11, 132 45 Saltsjö-Boo, Sweden ("Alcaeus", "we", "us", or "our").
By creating an account or using the Service, the business identified during registration (the "Customer") agrees to these Terms. The person creating the account confirms that they have authority to bind the Customer.
1. Business eligibility and accounts
Promeo is offered only to businesses, not for personal or household use. The individual operating the account must be at least 18 years old, legally capable of entering into a binding agreement, and authorised to act for the Customer.
At launch, each Customer may have:
- one Promeo user account authenticated through Firebase Authentication; and
- multiple product workspaces, each of which may have multiple connected TikTok, Instagram, Threads, YouTube, Facebook Page, Bluesky, and LinkedIn accounts.
Account credentials may not be shared. The Customer must provide accurate account information, keep its credentials and connected devices secure, and notify us promptly at noel@alcaeus.app of suspected unauthorised access.
The Customer is responsible for activity performed through its account, except to the extent caused by our breach of these Terms or applicable law.
2. The Service
Promeo allows the Customer to:
- create product workspaces containing product facts and any number of persona portraits, generic marketing images, persona scene variations, and four-slide social-media drafts;
- store, review, download, and delete generated results;
- upload photos for a slideshow and provide captions and other post information;
- connect one or more authorised TikTok, Instagram, Threads, YouTube, managed Facebook Page, Bluesky, and LinkedIn accounts to each product workspace;
- choose a proposed posting time and TikTok posting settings;
- choose one or more destination accounts for each post;
- preview and expressly approve each post; and
- authorise Promeo to submit the approved post to the selected accounts at the selected time.
Promeo uses third-party generative artificial-intelligence models made available through Replicate. Generation is separate from publishing. Generated media is not automatically added to a post or submitted to a platform. The Customer must review the result, choose to move it into a post, edit it where necessary, and then complete the same approval workflow as for uploaded content.
Promeo uses TikTok's Content Posting API Direct Post workflow and the video.publish permission, Instagram's content-publishing API, the Threads content-publishing API, YouTube Data API v3, Meta's Pages API for managed Facebook Pages, AT Protocol OAuth and repository APIs for Bluesky, and LinkedIn's member and publishing APIs with w_member_social. Facebook personal profiles and LinkedIn organisation Pages are not supported. For a selected YouTube destination, Promeo renders the approved photos into a video before upload. Promeo will not submit a post until the Customer has expressly approved that post, its destinations, and its settings. TikTok-specific interaction, music, and commercial-content settings apply only to selected TikTok destinations.
The Customer remains responsible for the final content, settings, disclosures, product association, and destination account. Connecting the same platform account or Facebook Page to more than one product creates a separate authorisation record for each product.
The Service is currently free. We may introduce paid features in the future, but we will not charge the Customer without first clearly presenting the applicable price and additional terms and obtaining any agreement required by law.
3. Scheduling and third-party platforms
Scheduled times are targets, not guarantees. A post may be delayed, rejected, restricted, moderated, duplicated, or not published because of internet or service outages, platform processing or moderation, rate limits, expired or revoked authorisation, account restrictions, incorrect settings, API changes, or other events outside our reasonable control.
The Customer should verify the result of every scheduled submission. Promeo is not an archive or backup service, and the Customer must keep its own copy of all content.
TikTok, Meta (including Instagram, Threads, and Facebook), YouTube, Bluesky, and LinkedIn are independent third-party services. Promeo is not affiliated with, endorsed by, or sponsored by them. Use of each platform remains subject to that platform's terms, policies, community guidelines, disclosure requirements, and account restrictions. By using Promeo's YouTube features, the Customer also agrees to be bound by the YouTube Terms of Service.
When the Customer selects multiple destinations, Promeo attempts the submissions together, but each platform processes the post independently. One destination may publish while another is delayed or fails, and Promeo cannot roll back content already accepted by a platform.
The Customer authorises Promeo to use each platform permission granted by the Customer solely to provide the Service for the product to which that connection is attached. The Customer may disconnect an individual connection through Promeo or the platform's account controls. Disconnecting an account does not affect other connected accounts, but it prevents new submissions through that connection. Features may be changed, suspended, or discontinued if a provider changes or withdraws its APIs or approval.
Other third-party services used to provide Promeo, including Firebase, Bunny, and Replicate and the model providers available through Replicate, are governed by their own terms, model licences, safety rules, and availability.
4. Customer content
"Customer Content" means product records, prompts, persona and variation relationships, reference images, uploaded and generated photos, captions, trademarks, names, likenesses, scheduling instructions, and other material the Customer supplies, selects, or creates through the Service.
The Customer retains its ownership rights in Customer Content. The Customer grants Alcaeus a worldwide, non-exclusive, royalty-free licence to host, copy, format, preview, process, transmit, and temporarily make Customer Content available only as reasonably necessary to:
- provide, secure, and support the Service;
- transmit generation instructions and authorised reference media to Replicate and the selected model to produce the requested result;
- store and display generated results for Customer review;
- submit approved content to the selected social platforms as instructed;
- diagnose failures and enforce these Terms; and
- comply with law.
This licence ends when the relevant Customer Content is deleted, except for limited technical copies retained under our Privacy Policy, records required by law, and content already transmitted to a selected social platform.
Alcaeus does not train or fine-tune its own artificial-intelligence models using Customer Content and does not initiate model-training jobs with Customer Content through the Service. Generation inputs and outputs are processed by Replicate and the selected model provider to produce the requested result and operate their services, subject to their applicable terms and privacy commitments. We do not sell Customer Content or use it for advertising.
Generated output
As between Alcaeus and the Customer, the Customer retains its rights in its inputs. To the extent Alcaeus obtains any transferable rights in a generated output, Alcaeus assigns those rights to the Customer when the output is created. This does not override third-party model terms or create rights that applicable law does not recognise.
Generative output may be inaccurate, incomplete, biased, unsuitable, unexpected, or similar to material produced for another user. Alcaeus does not guarantee that an output is unique, eligible for copyright or other protection, non-infringing, factually accurate, or suitable for publication, advertising, regulated claims, or a particular platform. The Customer must independently review and, where appropriate, edit every output before use.
5. Customer responsibilities
The Customer represents and warrants that:
- it owns Customer Content or has all rights, licences, permissions, and consents needed to use and publish it;
- its use of names, images, voices, likenesses, music, brands, and personal data is lawful;
- its posts comply with applicable advertising, consumer-protection, intellectual-property, privacy, marketing, and sector-specific laws;
- it will make accurate commercial-content, sponsorship, paid-partnership, and own-brand disclosures;
- it will obtain any required consent from employees, creators, models, customers, or other people appearing in Customer Content;
- it will not use a real person's likeness as a generation reference without all rights, notices, and consents required for the intended generation and publication;
- it will verify generated statements and will not treat Promeo as legal, medical, financial, advertising-compliance, or factual advice;
- it is authorised to connect and publish to every selected platform account or Facebook Page; and
- it will review the preview, caption, privacy level, interaction settings, commercial-content settings, cover, ordering, and schedule before approving a post.
The Customer must not rely on Promeo to determine whether content is lawful, properly licensed, or suitable for a selected platform.
6. Prohibited use
The Customer must not use the Service to:
- break any law, regulation, court order, sanction, or third-party right;
- infringe intellectual-property, privacy, publicity, confidentiality, or data-protection rights;
- publish unlawful, fraudulent, defamatory, harassing, hateful, exploitative, sexually abusive, or violent content;
- impersonate another person or business or misrepresent affiliation, sponsorship, origin, or authorisation;
- create deceptive impersonations, non-consensual intimate imagery, exploitative sexual content, or misleading synthetic media;
- generate or facilitate political persuasion, coordinated disinformation, discriminatory decisions, or unlawful surveillance;
- send spam, conduct coordinated inauthentic activity, manipulate engagement, or evade platform enforcement;
- connect or control a platform account or Facebook Page without the account holder's permission;
- upload malware, malicious code, or material intended to compromise a system or account;
- probe, disrupt, overload, reverse engineer, scrape, or bypass security, usage limits, rate limits, or access controls;
- resell, sublicense, or provide the Service to another business without our written permission; or
- use the Service in a way that could expose Alcaeus, a platform provider, our providers, or other users to liability or harm.
We may investigate suspected violations and remove content, disable a schedule, or suspend access when reasonably necessary to protect the Service, comply with law or platform requirements, or prevent harm.
7. Business data and privacy
Our processing of personal data as an independent controller is described in our Privacy Policy.
When the Customer uploads Customer Content containing personal data for Promeo to process solely on the Customer's instructions, the Customer is the controller (or primary processor acting for another controller) and Alcaeus acts as its processor or service provider, as applicable.
The Customer:
- instructs Alcaeus to process that data to provide, secure, support, and terminate the Service;
- confirms that it has a lawful basis and has provided all required notices;
- authorises the subprocessors identified in the Privacy Policy;
- must not upload unnecessary sensitive data; and
- remains responsible for responding to people whose personal data appears in Customer Content.
Alcaeus will apply reasonable security measures, limit access to personnel and providers who need it, assist with legally valid data-subject requests where reasonably possible, notify the Customer of confirmed personal-data incidents as required by law, and delete or return Customer Content in accordance with the Privacy Policy.
If applicable law requires a more detailed data processing agreement, the Customer must contact noel@alcaeus.app before submitting regulated personal data.
8. Promeo intellectual property
Alcaeus and its licensors own Promeo, including its software, design, documentation, trademarks, logos, and other materials, excluding Customer Content and third-party materials.
Subject to these Terms, Alcaeus grants the Customer a limited, non-exclusive, non-transferable, revocable right to use the Service for its own internal business purposes. No other rights are granted.
If the Customer provides suggestions or feedback, it grants Alcaeus a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without identifying the Customer or disclosing its confidential information.
9. Confidentiality
Each party must protect the other party's non-public business, technical, and security information using reasonable care and use it only for the relationship under these Terms. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received without confidentiality restrictions.
A party may disclose confidential information when required by law, but must give advance notice where legally permitted.
10. Availability, changes, and support
The Service is provided without a service-level agreement. We may maintain, update, limit, or change the Service and may impose reasonable technical limits. We do not promise continuous availability, a particular posting success rate, compatibility with every platform account, or that a provider will continue providing any feature.

11. Suspension, termination, and deletion
The Customer may stop using Promeo and request account deletion at any time by using available account controls or contacting noel@alcaeus.app. The Customer should cancel pending schedules and disconnect platform accounts before closing its account.
We may suspend or terminate access immediately when reasonably necessary because of:
- a material or repeated breach of these Terms;
- unlawful, fraudulent, insecure, or harmful activity;
- a requirement from a platform provider or a competent authority;
- risk to users, accounts, systems, or third parties; or
- discontinuation of the Service.
Where reasonably practicable, we will provide notice and an opportunity to remedy a remediable breach.
On termination, the Customer's right to use Promeo ends, pending schedules may be cancelled, platform authorisation will be revoked or removed where supported, and data will be handled under the Privacy Policy. Sections that by their nature should survive—including ownership, confidentiality, disclaimers, liability, indemnification, and dispute terms—will survive.
12. Disclaimers
To the maximum extent permitted by law, Promeo is provided "as is" and "as available." Alcaeus disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, availability, and error-free operation.
We do not warrant that:
- a generation will finish, match a prompt or reference, be unique, accurate, lawful, non-infringing, or suitable for publication;
- a post will be submitted or published at an exact time;
- a selected platform will accept, process, moderate, display, or retain a post;
- a post will achieve any reach, engagement, or commercial result;
- third-party services will remain available or unchanged; or
- the Service will prevent every unauthorised access, deletion, loss, or duplication.
Nothing in these Terms excludes a warranty or remedy that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, goodwill, business opportunity, anticipated savings, or data, even if advised that such loss was possible.
Alcaeus's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
- EUR 100; or
- the fees the Customer paid to Alcaeus for Promeo during the 12 months before the event giving rise to the claim.
These limitations do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of confidentiality, infringement of the other party's intellectual-property rights, liability under applicable data-protection law that cannot be limited, or any other liability that cannot lawfully be excluded or limited.
14. Indemnification
To the extent permitted by law, the Customer will defend, indemnify, and hold harmless Alcaeus and its directors, employees, and contractors from third-party claims, damages, penalties, and reasonable costs arising from:
- Customer Content;
- the Customer's platform accounts, Pages, posts, advertising, or disclosures;
- the Customer's breach of Sections 5 or 6; or
- the Customer's violation of law or third-party rights.
Alcaeus will promptly notify the Customer of a covered claim and provide reasonable cooperation. The Customer may not settle a claim in a way that admits fault by or imposes obligations on Alcaeus without Alcaeus's written consent.
15. Changes to these Terms
We may update these Terms to reflect changes to Promeo, providers, law, security, or platform requirements. For material changes, we will provide reasonable advance notice through the Service or by email unless an earlier change is required for legal, security, or platform-compliance reasons.
Continued use after the effective date of updated Terms constitutes acceptance. If the Customer does not agree, it must stop using the Service and close its account.
16. General terms
Notices. We may send notices to the email associated with the Customer's account or display them in the Service. Legal notices to Alcaeus must be sent to noel@alcaeus.app.
Assignment. The Customer may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, reorganisation, financing, or transfer of the Service or relevant business, subject to applicable law.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet or utility failures, cyberattacks, labour disputes, natural disasters, governmental action, war, epidemics, or failures of platform or other providers.
Entire agreement. These Terms and the Privacy Policy form the agreement concerning Promeo and supersede prior statements about the Service.
No waiver. Failure to enforce a provision is not a waiver.
Severability. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue.
No third-party beneficiaries. These Terms do not grant rights to third parties.
17. Governing law and disputes
These Terms are governed by Swedish law, without regard to conflict-of-law rules.
The courts of Sweden have exclusive jurisdiction, with Stockholm District Court as the court of first instance. This does not override mandatory rights, jurisdiction, or remedies that cannot lawfully be excluded.
